Non-Exclusive Licensing Agreement

Section 1.

Grant of License. Upon the terms, payments and conditions set forth hereinAutoAdsDepot.com, Inc. hereby grants to the Client as a non-exclusive License to use the advertising material provided herein. No license, immunity or other right is granted by
implication or otherwise with respect to any advertising material other than the use of the material for Client’s advertising during the term of this license.

Section 2.

Limitation on Use of Trademarks, etc.. Neither the granting of the license herein nor the acceptance of payment hereunder shall constitute an approval of or acquiescence in the Client’s practices with respect to trademarks, trade names, corporation names, advertising or similar practices with respect to the advertising material, nor does the granting of such license constitute an authorization or approval of, or acquiescence in the use of the AutoAdsDepot.com, Inc. or it’s affiliates in connection with the, advertising or sale of Cient’s products, and theAutoAdsDepot.com, Inc. hereby expressly reserves all rights with respect to thereto.

Section 3.

Duration and Termination. Unless otherwise terminated as hereinafter set forth, this Agreement shall continue in full force for two(2) months; provided however, that either party shall have the right to terminate this Agreement and the license granted herein in the event a party breaches the Agreement and does not cure such breach within 30 days after notice thereof from the other party specifying such breach.

Section 4.

Warranty Exclusion. No representation or warranty has been made by the AutoAdsDepot.com, Inc. with respect to the advertising material under the license, it being understood that the licensor shall not be liable for any loss, damage or expense arising from any claims made by any third parties.

Section 5.

Non-Assignability. Client will not transfer or assign this Agreement or the use of any advertising materials related to this license. No purported Agreement to transferor assign this license in violation of this restriction will be valid to pass any interest to the assignee or transferee.

Section 6.

No Release. The termination of this Agreement or the expiration of the term of this Agreement shall not release either party from any obligations under this Agreement.

Section 7.

Hold Harmless. Client agrees to hold AutoAdsDepot.com, Inc. harmless in any suit, litigation or controversy in relation to any advertising materials provided by AutoAdsDepot.com, Inc. for Client that has been suggested, ordered or approved by Client.  All copy related to individual “Vehicle For Sale” information, including but not limited to legal disclosures and disclaimers shall be the sole responsibility of Client, and Client should seek legal advice from an attorney familiar with their state’s regulations for automobile advertising.  Any legal disclaimers or disclosures that may appear in any AutoAdsDepot.com material is for demonstration purposes only and should not be considered a recommendation of any kind for Client’s legal ad content.

Section 8.

Production Of Advertising Materials.  Any and all advertising material, including but not limited to television spots, Radio spots, Print ads, Newspaper inserts, social media banners and customized logos will be, in all cases, produced by AutoAdsDepot.com for the production prices quoted on this website with the exception of any already existing company logos or generic graphics normally used in Client’s regular on-going advertising campaigns.

The materials contained on this website (Materials) are strictly copywritten and constitute proprietary information which is the sole and exclusive property of AutoAdsDepot.com, Inc. and are protected by U.S. Federal copyright law.  In consideration for perusal of the materials within this website, you agree to the following terms and conditions:  The materials may not be copied, duplicated, distributed or disseminated by you or transferred by you to any other person, firm, or corporation. Should AutoAdsDepot.com, Inc. discover through routine monitoring or by any other means of scanning daily media airwaves and/or digital media, social media or any other advertising medium, your organization will be immediately billed for one(1) year membership fees to AutoAdsDepot.com due immediately in it’s entirety, at which point the website and it’s contents will be available to client with full membership benefits whether client elects to take advantage of this one(1) year membership or not.
